Terms of Service

These Terms of Service ("Terms") are a binding agreement between CIMP PTY LTD (ABN 68 666 477 014) ("CyberGoBag", "we") and the entity or person agreeing to them ("Customer", "you") governing use of the CyberGoBag website and self-serve / online Services. By creating an account, clicking "I agree", or using the Services, you accept these Terms. If you are agreeing on behalf of an organisation, you represent that you are authorised to bind it.

These Terms are for self-serve / online signups. Negotiated customers sign a Master Subscription Agreement (MSA) instead, which supersedes these Terms for that customer.

1The Services

CyberGoBag provides a cloud-based cyber incident management, crisis-readiness and response platform. We grant you a non-exclusive, non-transferable right to access and use the Services for your internal business purposes during your subscription, subject to these Terms, your plan limits, and the Acceptable Use Policy.

2Accounts & eligibility

You must provide accurate registration information, keep credentials secure, and are responsible for all activity under your account. You must be able to form a binding contract and not be barred under applicable law. One user seat is for one individual; credentials may not be shared.

3Subscriptions, fees & renewal

  • Paid plans are billed annually in advance via our payment processor (Stripe).
  • Fees are non-refundable except where required by law (including the Australian Consumer Law) or expressly stated.
  • All Fees are in AUD and are exclusive of GST; where a supply is a taxable supply, GST is added and shown on your tax invoice. Prices displayed in other currencies are indicative unless your Order states otherwise.
  • Plans auto-renew unless cancelled before the end of the current term; you authorise us (and our processor) to charge your payment method for renewals.
  • We may change pricing on renewal with at least 30 days’ notice.
  • Failure to pay may result in suspension or termination.

4Acceptable use

Your use is subject to our Acceptable Use Policy, incorporated here. We may suspend or terminate access for violations or to protect the Services or others.

5Customer Data & privacy

You retain ownership of the data you submit ("Customer Data"). You grant us the right to host and process it to provide, secure, and support the Services. Our handling of personal data is described in the Privacy Policy and, for data we process on your behalf, our Data Processing Agreement (available on request), which applies where required by data-protection law. You are responsible for the legality of your Customer Data and for having the rights and consents to submit it. Do not upload data you are not authorised to process.

6Intellectual property

The Services, software, and all related IP are and remain owned by CyberGoBag and its licensors. We welcome feedback and may use it freely. You may not copy, modify, reverse engineer, resell, or create derivative works of the Services, or use them to build a competing product, except as law expressly permits.

7Third-party services

The Services may interoperate with third-party products (e.g. video, email, storage). Their terms govern your use of them; we are not responsible for them.

8Beta features

Features marked beta / trial are provided "as is", may change or be withdrawn, and are excluded from any service commitments and warranties.

9Warranties & disclaimer

We will provide the Services with reasonable skill and care. Except as expressly stated, the Services are provided "as is" and "as available", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the Services will be uninterrupted, error-free, or secure, or that they will prevent or remedy any security incident. The Services support — but do not replace — your own security and compliance programme.

10Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or exemplary damages, or lost profits or data. Our total aggregate liability arising out of or relating to the Services will not exceed the Fees you paid us in the 12 months before the event giving rise to the liability (or AUD 100 if you use only a free plan). Some jurisdictions do not allow certain limitations, so some may not apply to you.

Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or any other law that cannot lawfully be excluded. Where our Services come with a non-excludable guarantee and the law permits us to limit our liability, our liability is limited, at our option, to resupplying the Services or paying the cost of having them resupplied.

11Indemnity

You will indemnify CyberGoBag against third-party claims arising from your Customer Data or your use of the Services in breach of these Terms, the Acceptable Use Policy, or law.

12Term, suspension & termination

These Terms apply while you use the Services. You may cancel at any time (effective at the end of the current billing period). We may suspend or terminate for breach, non-payment, or risk to the Services, and will provide notice where practicable. On termination, your right to use the Services ends; we will make Customer Data available for export for 30 days, then may delete it.

13Changes to these Terms

We may update these Terms. Material changes will be notified (email or in-app) before they take effect. Continued use after the effective date constitutes acceptance. If you object, your remedy is to stop using and cancel the Services.

14Governing law & disputes

These Terms are governed by the laws of the State of New South Wales, Australia, and you submit to the exclusive jurisdiction of the courts of New South Wales. This does not limit any non-excludable rights you have under the Australian Consumer Law, or (if you are outside Australia) any mandatory rights under your local law.

15General

These Terms (with the Acceptable Use Policy, Privacy Policy, Data Processing Agreement, and any Order / plan details) are the entire agreement for self-serve use. If any provision is unenforceable, the rest remains. Our failure to enforce is not a waiver. You may not assign these Terms; we may assign to a successor. Force majeure, export-control, and notices provisions consistent with the MSA apply.
